Unlike promotions and some recent announcements, this time Brazos International Exploration Inc.(PINK:BRZL) decided to inform investors about the actual current status of the operations of the company. It filed the statements ten days ago. This week, a slow recovery takes place, with volumes of traded shares increasing together with the stock price.

Titan Oil & Gas, Inc. (OTC:TNGS) Jumps on a Plan Update

The performance of Titan Oil & Gas, Inc. (OTC:TNGS) stock yesterday diverged sharply from the strong downtrend that the stock is following this year. If the negative trend can reverse solely on a corporate update is another issue, as vague plans are usually not enough to start oil and gas production.

TNGS stock got some action in yesterday’s trading session even with the lower than the average trading volume of about 387,000 shares. The stock closed the day with a 5.26% increase in the closing price at exactly $1 per share. Early in the morning, the company issued a press release on its recent corporate developments.

Titan Oil & Gas informed investors that after an initial review of a number of potential properties it has identified three “high-priority” targets with the potential for immediate production and near-term cash flows. Further, the company promised more updates, concerning planned partnerships or joint venture agreements. That could sound promising for more jumps of the share price like the one from yesterday, but it will take more than just announced plans for the downtrend to stop and reverse.

It is not hard to describe in brief the nature of TNGS operations. As of November 30, 2010 the company had no products or services. The initial plan was to market electronic safe systems, but after it failed the business changed to oil and gas exploration in June 2010. As of last November, the total value of the company’s oil and gas interests in properties located in Alberta and Saskatchewan, Canada was about $190,000. Later, in February this year, TNGS disposed of its Saskatchewan interests in for a total of $15,000, and in January TNGS acquired additional leases in Alberta for $49,588.

A positive thing to be pointed out is that the company is still young and maybe still has the chance to strike some oil and gas reserves on any of its properties. In January, TNGS also completed a private placement for total proceeds of $100,500, in which 67,000 shares of common stock were sold at a price of $1.50 each. The offering was fully subscribed by one single non-US investor.

It seems that more and more promoters have decided to skip the SEC rules these days as the number of newsletters with a trimmed-off disclaimer is constantly increasing. The cat-and-mouse play with the law was joined by another promoter, who gave SGD Holdings Ltd. (PINK:SGDH) a boost in a trade alert after the closing bell yesterday.

The promoter of SGDH, Our Hot Stock Picks, sent out its arsenal of newsletters yesterday, saying that SGDH was a monster. Unfortunately, the only link to their disclaimer leads to a general text that has been applied to all the newsletters issued by the website. Details about the compensation, if any, and other provisions required by the SEC rules were not present.[BANNER]

The database of hotstocked.com indicates that a total of 15 different stocks were promoted by Our Hot Stock Picks in February. However, not a single letter was accompanied by a proper disclosure statement. Thus, it is impossible to determine the nature and amount of the stimulation the promoter received to halo SGDH.

Even though, the promoter has obviously reviled the law, it must be admitted that this will not necessary undermine the upcoming performance of SGHD. Our Hot Stock Picks didn’t save on TNT when preparing and setting their promotional explosives. So, no one can predict what the scale of the detonation of SGDH stock will be today.

In fact, there is nothing wrong in writing promotional newsletters as long as they abide the SEC rules. The promoter of SGDH, however, has decided to make everything possible to obscure the most essential information about the campaign. Therefore, it is not very clear whether the eulogy about SGDH was prompted by an objective analysis, or by some unidentified form of compensation.

Zevotek, Inc. (OTC:ZVTK) To Roll Out TV Advertising Campaign

Zevotek, Inc. (OTC:ZVTK) is flicking up and down as traders remain indecisive about the stock value after the company rolled out several big announcements.

Another stock price stir was created by the recent news that the company will roll out an extensive TV advertising campaign for the ionic light bulbs. The ads should be aired more than 1,000 times in January 2011 and are expected to drive the sales up.

As always, the share price reaction looks premature considering the material changes have not occurred and the fundamentals remain troubled.

An earlier price rally has demonstrated the nature of news driven excitement, when the price swung wildly in the first days but the stock lost liquidity and depreciated shortly afterwards. The newest announcement carries little reason for appreciation and the price rally counts only on the excitement of day traders.

The previous price rally had more merit as it was induced by the announced acquisition of a water saving technology used in households and as presentations carried out the advertising of the company’s ionic light bulb product. [BANNER]

Despite the intentions to advertise the bulb, the price is mostly influenced by the underlying financials, which aren’t much impressive:

• no cash
• heavily leveraged balance sheet
• minuscule revenues to date
• continuing losses due to overwhelming expenses

The business won’t advance without additional funding, which in the penny stock industry usually comes with a high risk of dilution for shareholders.

CTYX – To Perform Reverse Split , Shares to Be Reduced By a 50-1 Ratio

Effective August 23rd shareholders of CTYX will find their share holdings reduced by a ratio of 50-1. As I noted to my subscribers CTYX was a great stock because of its share structure. If that were to change so would my view of CTYX.
